1. Agreement to Our Legal Terms
Please read these Terms of Use of the Nini Services and Platform carefully (“Terms”). The Terms constitute a binding agreement between you (“you”, “your”, or “user”) and Inspirae Corp., a Delaware corporation (interchangeably, “Nini”, the “Company”, “we”, “our”, or “us”). These Terms govern your access to and use of the Nini mobile application (the “App”) and related features, services, information, text, graphics, photos or other materials or content uploaded, downloaded or appearing on the App (collectively, the “Services”).
By accessing or using the Services, you agree to comply with and to be bound by all of the terms and conditions described in these Terms. If you do not agree, you must discontinue use immediately.
The Services are intended solely for individuals who are 18 years of age or older. By using the Services, you represent and warrant that you are at least 18 years of age. If you are under 18, you may not access or use the Services under any circumstances.
We may update or revise these Terms at any time, at our sole discretion. Material changes will be communicated through the email address associated with your account or through in-app notices. Continued use of the Services after changes take effect constitutes your acceptance of the updated Terms.
2. Account Registration and User Representations
Accessing the Services requires you to register and create a personal user account (referred to as an “Account”). You agree that you will not create more than one Account or register an Account for another person without their prior consent.
By using the Services you represent and warrant:
You have provided and will continue to provide true, accurate, current, and complete information about yourself;
You certify that you are over the age of eighteen (18) and have the legal ability to consent to the Services;
You will maintain, and promptly update such Account information to keep it true, accurate, current, and complete;
You will remain responsible for maintaining the confidentiality of your Account password and username;
You will not access the Services via automated or non-human means except as expressly permitted;
You will not use the Services for any illegal or unauthorized purpose; and
Your use will comply with all applicable laws and regulations.
3. Description of Services
Nini is a mobile application designed to support personal reflection and self-awareness, customized for iOS and Android mobile devices (the “App”). Subject to compliance with these Terms, we grant you a limited, revocable, non-transferable, non-exclusive license to install and use the App on your personal device in order to access the Services.
The Services include:
Conversational Agent (“Nini”): A chat-based AI companion that engages in free-form conversations with you. Nini’s responses are generated using third-party artificial intelligence services. Your messages and content are transmitted to these providers for processing. See Section 15 for the list of providers and our Privacy Policy for details on data handling.
Cases: Structured monologues where you may record or upload text, audio, images, videos, or documents to reflect on specific events or feelings.
Personal Metrics: Periodic insights generated from your conversations and cases, designed to help you track patterns across your personal relationships. These insights are intended solely for personal reflection and self-awareness.
Community Feed: An optional feature allowing you to share anonymized cases with the broader Nini community. Contributions are shared only if you explicitly opt in.
The Services are made available on a personal, non-commercial basis. You are solely responsible for the information you choose to provide, and you must ensure that you do not share personal data of third parties without their consent.
Nini is designed for personal reflection and self-awareness, and does not provide professional advice of any kind. Any insights or reflections produced within the Services are for personal exploration only.
If the Services provide any information (including informational content or suggested tools and techniques), such information is for informational purposes only and should not be construed as professional advice. You should seek independent professional advice from a qualified person before any use.
We may use third-party analytics and performance tools. Details are described in our Privacy Policy. If you download the App, you agree that the software may require upgrades, updates, and additional features from time to time.
4. Service Availability; Restricted Regions
The Services are hosted in the United States and intended for use only in jurisdictions where we make them available. We do not offer the Services in the European Union, European Economic Area, the United Kingdom, or Switzerland, or in jurisdictions with data-localization or regulatory requirements we do not support, which may include the Russian Federation and the People’s Republic of China. We may update this list at any time. By using the Services, you consent to the transfer and processing of your information in the United States.
5. Use of Services
You may use the Services only for personal, non-commercial purposes and in compliance with these Terms. You are responsible for all activity that occurs under your account. By using the Services, you agree that:
You will only share information that you own or that you are authorized to disclose.
You will not upload or share personal data of third parties without their explicit consent.
You will not misrepresent your identity or create accounts under false pretenses.
You are solely responsible for the content you generate, upload, or share within the Services.
When you talk to Nini, you should not try to get it to talk about harmful, abusive, or illegal topics. You also should not attempt to evade our security measures or learn about the models, algorithms, prompts, or source code of Nini. We reserve the right to suspend or terminate Accounts that violate these obligations.
6. Prohibited Conduct
Illegal or harmful content: Uploading or sharing material that is unlawful, abusive, defamatory, obscene, threatening, or otherwise harmful.
Privacy violations: Posting personal information of others without their explicit consent.
Exploitation of AI: Attempting to reverse-engineer, manipulate, or misuse the AI models.
Security breaches: Attempting to hack, probe, or disrupt the platform.
Commercial misuse: Using the Services to advertise, solicit, or compete with Nini.
Misrepresentation of outputs: Presenting AI-generated responses as professional advice or diagnoses.
Malicious behavior: Engaging in fraudulent, deceptive, or disruptive activities.
Any other criminal activity: Posting content which may constitute or encourage a criminal action.
Violation of this section may result in immediate termination of your Account, cancellation of any active subscription without refund, and potential reporting to authorities.
7. Intellectual Property Rights
All intellectual property rights in the Services, including the App, underlying software, databases, features, text, images, designs, audio, video, and all trademarks, logos, and service marks of Nini (collectively, the “Company Content”), are owned exclusively by or licensed to the Company.
Subject to the Terms of this Agreement, Nini hereby grants you a limited, revocable, non-transferable, and non-exclusive license to use the software, content, and documentation on and in the Service to the extent necessary to access and use the Service. The Company Content is provided on an “AS IS” basis for your personal, non-commercial use only.
We reserve all rights not expressly granted to you in these Terms. Any unauthorized use of the Services or Company Content constitutes a breach of these Terms.
You may choose to or we may invite you to submit comments or ideas about the Services (“Ideas”). By submitting any Idea, you agree that your disclosure is gratuitous, unsolicited and without restriction and will not place Nini under any fiduciary or other obligation, and that we are free to use the Idea without any additional compensation to you.
8. User Content & Ownership
You do not retain ownership of the content you create and share within the Services, including chats with Nini, cases, uploads, and any contributions to the community feed (“User Content”).
By using the Services, you grant Nini a limited, non-exclusive, royalty-free, worldwide, revocable license to process, use, modify, publish, edit, translate, distribute, store, display and make derivative works of all such User Content for the sole purpose of operating, maintaining, and improving the Services.
You acknowledge that you are solely responsible for your User Content, you warrant that you have all necessary rights and permissions to share it, and you will not upload content belonging to third parties without their consent. Do not include personal data about third parties without their explicit permission.
9. Payments and Subscriptions
All purchases and subscriptions are processed exclusively through the Apple App Store or Google Play Store (“App Stores”). Nini does not directly process or store your payment information. We may offer a free trial period, available once per user account. We offer weekly, monthly, and annual subscription options that renew automatically unless canceled through your App Store account settings. We reserve the right to adjust pricing at any time. All purchases are final. We do not issue direct refunds; refund requests must be submitted to the relevant App Store.
10. Access Limits and Fair Use
Non-subscribers may be subject to usage limits. We may pause or restrict access and require enrollment in a free trial or paid plan at any time. Paid subscribers are not subject to routine usage caps; however, we may suspend or terminate access without refund in cases of suspected abuse, malicious activity, or security risk.
11. App Distributor Terms
If you obtained the App from the Apple App Store or Google Play (each, an “App Distributor”): (a) your license is limited to a non-transferable license on a device that you own or control; (b) the App Distributor has no obligation to provide maintenance or support; (c) in the event of any failure, you may notify the App Distributor for a potential refund; (d) you represent that you are not located in a sanctioned country; and (e) the App Distributor and its subsidiaries are third-party beneficiaries of these Terms.
12. Software; EULA
If any component of the Services is accompanied by a separate end-user license agreement (“EULA”), that EULA governs your use of such component. If not, your use is licensed under these Terms on a limited, personal, revocable, non-transferable, non-sublicensable basis. Software and related documentation are provided “AS IS” without warranties of any kind.
13. Moderation and Community Management
We reserve the right, but not the obligation, to monitor activity within the Services. We may remove or restrict access to any content we consider harmful, unlawful, or in violation of these Terms; suspend or terminate accounts that engage in misuse; report illegal activity to appropriate authorities; and take all necessary actions to prevent misuse or malicious conduct.
14. AI-Generated Outputs Disclaimer
The chatbot “Nini” and all automated outputs are generated using artificial intelligence. While designed to provide personal insights and reflections, the AI may produce content that is incomplete, biased, or inaccurate. Outputs are for personal reflection only and should not be treated as professional advice of any kind. “Nini” may make up facts, events, or advice. You should never rely on anything it tells you as the only source of truth. Do not rely on the Services for decisions that require professional guidance. Nini disclaims all liability for reliance on AI-generated content.
15. Third-Party Technologies and AI Providers
The Services integrate third-party technologies, including artificial intelligence services. Your messages, cases, and uploaded content are processed by the following AI service providers to power Nini and related features:
OpenAI - Conversation and analysis processing; speech-to-text via Whisper
Anthropic - Conversation and analysis processing
DeepSeek - Conversation and analysis processing
Before your first interaction with Nini, you will be asked to provide explicit consent to the sharing of your content with these providers. You may review this information at any time in the app’s Settings.
This list is current as of the “Last updated” date of these Terms. We may update the list of providers at any time; material changes will be communicated via in-app notice or email, and renewed consent may be required.
There might be third-party links used in the Services, provided for your use and convenience. The appearance of a link does not constitute an endorsement by Nini. We are not responsible for the content of linked third-party websites. Your use of third-party websites is at your own risk and subject to their terms and conditions.
16. Voice and Audio Features
If you use voice features, your audio may be processed by third-party speech-to-text services and stored by us as part of your Account content. We do not promise automatic deletion of audio after transcription. See our Privacy Policy for processing and retention details.
17. Emergencies
Nini is designed for personal reflection and self-awareness, and does not provide professional advice or emergency services. Do not use the Services in place of emergency assistance. If you are experiencing an emergency:
Immediately stop using the Services.
In the United States, dial 911 for emergencies.
If you are elsewhere, contact your local emergency number or nearest emergency facility.
18. Risk Detection Policy
Automated or manual measures aimed at detecting signals of imminent risk may trigger temporary blocks or restrictions. These measures are provided on a best-effort basis, do not create an obligation for Nini to monitor or intervene in all cases, and do not replace professional services.
19. Electronic Communications; E-Sign Consent
By using the Services, you consent to receive communications from us electronically. You agree that all terms, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. You consent to the use of electronic signatures and records.
20. Corrections
The Services may contain typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors and to change or update information at any time without prior notice.
21. Limitation of Liability
The Services are provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law: Nini disclaims all warranties, express or implied; we do not guarantee that the Services will be error-free, secure, or available without interruption; we are not liable for emotional, psychological, or physical harm, nor for damages arising from reliance on AI outputs; in no event shall our liability exceed the total amount you paid to us in the six (6) months preceding the claim.
22. Indemnification
You agree to indemnify and hold harmless Nini, any of its subsidiaries, officers, employees, directors, agents, licensors, managers and other affiliated companies, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses resulting from: your use of the Services; your violation of any term of these Terms; any claim arising from your User Content; violation of third-party rights; your violation of any applicable law; or any other party’s access to the Services with your credentials.
23. Termination
We may suspend or terminate your Account at any time, with or without notice, if we determine you have violated these Terms or engaged in harmful activity. You may not create a new Account if your access has been terminated.
24. Governing Law, Arbitration and Class Action Waiver
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or the Services will first be subject to informal resolution: both you and Nini agree to attempt good-faith negotiations for at least thirty (30) days before pursuing formal action.
If the dispute cannot be resolved informally, it will be finally and exclusively settled by binding arbitration in the State of Delaware under the Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitration will be conducted in English.
You and Nini expressly waive the right to bring or participate in a class action, class arbitration, or any other representative proceeding. Disputes will be resolved solely on an individual basis. If for any reason a claim proceeds in court rather than in arbitration, you and Nini waive any right to jury trial.
This agreement to arbitrate will not preclude you or Nini from seeking provisional remedies in aid of arbitration, or from seeking relief for disputes related to intellectual property rights.
25. Modifications and Interruptions
We reserve the right to modify, suspend, or discontinue any part of the Services at any time without liability. While we strive for continuous availability, we do not guarantee uninterrupted access.
26. Miscellaneous
These Terms constitute the entire agreement between you and Nini.
If any provision is found unenforceable, the remainder shall remain valid.
Our failure to enforce a right does not constitute a waiver.
We are not liable for delays or failures caused by events beyond our reasonable control.
These Terms may not be transferred or assigned by you, but may be assigned by Nini without restriction.
27. Copyright Complaints
We respect intellectual property rights. If you believe content available through the Services infringes your copyright, please send a notice to data@getnini.ai with: (a) your contact details; (b) identification of the copyrighted work; (c) identification of the infringing material and its location; (d) a statement of good-faith belief; (e) a statement under penalty of perjury; and (f) your physical or electronic signature.
